The Board resolution dated July 18, 2022, the BOD of Ho Chi Minh City Development Joint Stock Commercial Bank approved the following contents:
1. Approved the increase of charter capital in 2022 from VND20,272,906,420,000 to VND25,303,429,220,000.
2. Approved the implementation of plan to pay stock dividend for increasing charter capital in 2022:
- Stock name: Ho Chi Minh City Development Joint Stock Commercial Bank
- Stock type: common share
- Par value: VND10,000/share
- Number of shares issued: 2,027,290,642 shares
- Number of outstanding shares: 2,012,209,120 shares
- Number of treasury shares: 15,081,522 shares
• To increase the additional charter capital of VND5,030,522,800,000 via the stock issuance for 2021 dividend payment:
- Number of shares expected to be issued: 503,052,280 shares
- Exercise ratio: 100:25 (Those who own 100 shares will receive 25 new shares)
- Plan to deal with fractional shares: The distributed shares will be rounded down to units, the fractional shares will be transfrred to Trade Union of Ho Chi Minh City Development Joint Stock Commercial Bank.
- Time of implementation: expected in Quarter 3/2022
- Total shares after the issuance: 2,530,342,922 shares, in which treasury shares of 15,081,522 shares).
3. Approved the registration the additiona issuance share at the Vietnam Securities Depository (VSD) and the additional listing on the Hochiminh Stock Exchange (HOSE).
4. Approved the amendment of the Company’s charter with new charter capital of VND25,303,429,220,000, equivalent to 2,530,342,922 shares.
